Mutual Non-Disclosure Agreement
By clicking "I Agree & Enter," you (the "Recipient") agree to the following terms with respect to all materials, information, financials, projections, and other content (collectively, the "Confidential Information") made available through this data room by Doorly ("Discloser"):
- Confidentiality. Recipient will hold the Confidential Information in strict confidence and will not disclose, publish, or distribute any portion of it to any third party without Discloser's prior written consent, except to Recipient's directors, officers, employees, attorneys, accountants, or financial advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth here.
- Permitted Use. Recipient will use the Confidential Information solely to evaluate a potential investment in, or business relationship with, Discloser, and for no other purpose.
- No Reproduction. Recipient will not copy, download, screenshot, record, forward, or otherwise reproduce the Confidential Information except as reasonably necessary for the permitted use.
- No License. Nothing herein grants Recipient any license or other rights, by implication or otherwise, in the Confidential Information or in any intellectual property of Discloser.
- No Representation. The Confidential Information is provided "AS IS." Discloser makes no representation or warranty as to its accuracy or completeness. Forward-looking statements and projections are illustrative and not a guarantee of future results.
- Term. Recipient's obligations under this Agreement will continue for two (2) years from the date of acceptance.
- Return or Destruction. Upon Discloser's request, Recipient will promptly return or destroy all Confidential Information in its possession or control.
- No Binding Offer. Nothing herein constitutes an offer or commitment to invest, partner, or transact. Any such commitment will be made only through a separately executed definitive agreement.
- Governing Law. This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
